These Terms of Service (“Terms”) govern your access to and use of the websites, platforms, software, applications, dashboards, portals, APIs, and services provided by RION Solutions LLC and its affiliates (“RION,” “we,” “our,” or “us”), including but not limited to the Nexus client portal, Argus, Forge, and any related tools or services (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. The Services are provided for business, operational, automation, analytics, and informational purposes only, and RION does not guarantee any specific outcome, performance result, business success, financial gain, or operational improvement from use of the Services. You are solely responsible for how you use the Services, the decisions you make based on outputs, and compliance with all applicable laws, regulations, and contractual obligations. You agree not to misuse the Services, attempt unauthorized access, interfere with system integrity, reverse engineer proprietary components, or use the Services for unlawful, harmful, or abusive activities. In connection with your use of the Services, you may provide, upload, transmit, or generate data, content, materials, inputs, or information (“User Data”). You retain ownership of your User Data; however, by using the Services, you grant RION a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, process, analyze, reproduce, modify, aggregate, anonymize, and use such User Data for the purposes of operating, maintaining, improving, securing, and developing the Services, including training, fine-tuning, validating, and improving algorithms, models, automation systems, and analytics, provided that any use for training or improvement may involve aggregation or anonymization where appropriate. You represent and warrant that you have all necessary rights and permissions to provide User Data and that such data does not violate any laws, third-party rights, or contractual restrictions. RION makes no representations or warranties of any kind, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, non-infringement, or that the Services will be uninterrupted, error-free, or free of defects. The Services, outputs, insights, recommendations, and analytics are provided “as is” and “as available,” and should not be relied upon as professional, legal, financial, medical, or regulatory advice. To the maximum extent permitted by law, RION shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, even if advised of the possibility of such damages. To the fullest extent permitted by law, RION’s total aggregate liability arising out of or related to the Services shall not exceed the amount paid by you to RION for the Services during the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater. You agree to indemnify, defend, and hold harmless RION, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to your use of the Services, your User Data, your violation of these Terms, or your violation of any law or third-party rights. RION may suspend, limit, or terminate access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms or that continued access poses a risk to the Services, RION, or others. These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles, and any disputes shall be resolved exclusively in the state or federal courts located in Texas, unless otherwise required by applicable law. RION may update or modify these Terms from time to time, and continued use of the Services after such changes constitutes acceptance of the revised Terms. If you do not agree to these Terms, you must discontinue use of the Services immediately.
